On 10 March 2025, Idrostudi S.r.l. Unipersonale adopted the Organisation, Management and Control Model pursuant to Italian Legislative Decree No. 231/2001.
This Decree introduced the concept of administrative liability of entities, providing that a company may be held criminally liable for certain offences expressly set out therein, committed by its representatives in the interest of, or to the advantage of, the Company. Such liability may result in administrative sanctions, including financial penalties and disqualifying measures affecting the conduct of the company’s business.
However, the same Decree provides for an exemption from liability where the company can demonstrate that it has adopted adequate measures to prevent the commission of such offences.
These measures include identifying the activities within which offences may be committed, establishing specific protocols aimed at reducing the risk of offences, adopting a corporate code of ethics, implementing a disciplinary system to ensure compliance with the Model, and appointing a Supervisory Body to ensure the Model’s effectiveness and proper updating.
The Company has also implemented a whistleblowing system in compliance with the provisions of Italian Legislative Decree No. 24/2023.
